PopupCare™ is a membership-based care and coverage initiative. The Pharmacy Care Experience program is driven by our “Care Experience Team,” a group of pharmacists and community-centered pharmacies dedicated to answering your questions, providing your medicine, and removing the hurdles, worries, and frustrations of getting better.

Introduction and Overview

These terms and conditions are for your use for all versions of the PopupCare™ digital platforms and any other of our applicable services provided, maintained, or created for the use of PopupCare™ business. PopupCare™ or its parent company PopupRx may utilize their own set of terms and conditions that will be made available upon request or when you visit www.popuprx.com.

For the purposes of this document, PopupCare™ and its parent company PopupRx and its family of brands may be referred to using the words “we”, “our”, or “us”. PopupCare™ Xperience Guides may be referred to as “agents”. When referring to “you“ (the user of our digital services), any of your related dependents, or any persons or entities accessing your account, we will use the words “you” and “your” for the purposes of this document.

Acknowledgement and Acceptance of Terms

Please read this agreement carefully before accessing or using any PopupCare™ digital platforms or services. This agreement constitutes a legally binding agreement between you and PopupCare™ and our parent company, PopupRx.

Your agreement to accept and uphold the terms and conditions outlined in this document, as well as the privacy policies available onwww.popuprx.com and any other available guidelines and conditions from PopupCare™, is a non-negotiable condition for your use of our digital platforms and services. Your access and usage of our digital platforms and services constitutes an agreement to accept and comply with these terms and conditions. If you do not agree to be bound by these terms, please do not proceed with access and use of our digital platforms or services.

The rights provided to you through these terms and conditions are non-transferrable and may not be granted by you to any other persons, parties, or entities.

Services Provided and Service Restrictions

PopupCare™ facilitates prescription discounting services; health- related research materials; links to telehealth providers, access to medical equipment providers; access to medication pick up kiosks; medical information tracking services; and other resources, services, or products.

Our digital platforms and services are available to residents of any of the 50 states of the United States of America. We are not currently available to residents of any country or region outside of the United States of America. Access to our digital platforms or services by anyone not registered as a resident of the United States is prohibited. We are not subject to legal intervention on behalf of any non-U.S. resident accessing our digital platforms or services.

Our digital platforms and services are intended for persons 18 years of age or older. Use by anyone under the age of 18 or otherwise legally denoted as a minor is not allowed. Our digital platforms and services, and any material pertaining to our business, is in no way intended to attract the business of persons under the age of 18.

PopupCare™ and our parent company, PopupRx, are not insurance providers, nor are we or our services to be considered a replacement for health insurance.

Medical Treatment and Endorsements

The content and functionality of our digital platforms and services are intended to be used for informational or membership related purposes only. Content and functionality are not intended to be a replacement for professional medical treatment, advice, diagnosis, or assistance. Please ensure that you continue your use of medical professionals and health providers for all areas of sick care that are emergency-related, chronic, or otherwise exceed common illnesses.

Use of PopupCare™’s services and sources is done at your own risk.

PopupCare™ does not endorse any specific pharmaceutical solution, pharmacy, pharmacy benefit manager, prescription drug, treatment, or healthcare service.

Account Data and Data Privacy

In order to access our services and digital platforms, you will be asked to complete a registration form and create an account and password. You will be given the tools to maintain your account, password, and any related data. By registering and creating an account, you confirm that all information you provide upon account creation and that you provide or update after your account has been created is accurate and true. You agree to keep your account information up to date, complete, and accurate. You also agree to keep your account login information confidential and log out of your account at the end of each session. You also agree to limit yourself to only a single account to manage your services and the PopupCare™ membership family you create. You may, however, create an account for a dependent or for a person you have the authority to acquire medications for or otherwise assist in healthcare-related matters. Doing so makes you responsible for compliance with these terms and conditions.

You are responsible for all activities that take place under your account. PopupCare™ is not liable for any losses, damages, errors, or other operational consequences that occur as a result of any failure to comply with these regulations.

You confirm our right to disclose information about you gained through your creation and maintenance of your account to third parties. All information we gain through your use of our digital platforms and services and our potential disclosure of said information is subject to our Privacy Policy. https://www.popupcare.com/privacy-policy If you have not yet reviewed our Privacy Policy, please do so prior to using our digital platforms and services any further.

PopupCare™ may, at any time, take any action deemed necessary in order to maintain the security of our site, services, or users.

Access and Use of Digital Platforms and Services

At no time will you access the account of another user or take part in any activities using the account of another user. This includes any attempts to access another user’s account with your own account.

You agree to not take any other actions that violate the security of our digital platforms or services. This includes any attempt to access sections of the digital platforms or services that you are unauthorized to access, any attempts to obtain unauthorized access to a network or server, or any attempts to obtain access through the use illegal technologies, hacking methods, or other unauthorized actions.

You may not make any attempt to probe, scan, or determine the potential vulnerability or the specifications of our digital platforms, services, or any related networks, servers, or technologies. You may not misuse our digital platforms and services or use them for any action deemed illegal or unlawful.

You may not upload, transmit, run, or introduce any virus, Trojan Horse, application, or other technology that is not authorized by PopupCare™ or that could be deemed harmful to our network, servers, platforms , services, functionality, or infrastructure. You may not use any form of automated technology to access, read, alter, or copy any data on or related to our sites and services. You may not take any action that would limit or alter another user’s access to our sites and services.

Those who violate our systems or security are liable to face civil or criminal charges.

  • Telehealth Consent

  • Telehealth or telemedicine involves the delivery of health care services using electronic communications, information technology, or other means between a medical provider and a patient who are not in the same physical location. Telemedicine may be used for diagnosis, treatment, follow-up and/or patient education, and may include, but is not limited to:

    • Electronic transmission of medical records, photo images, personal health information, or other data between a patient and a medical provider;

    • Interactions between a patient and medical provider via audio, video, and/or asynchronous data communications; and

    • Use of output data from medical devices, sound, and video files.

  • By registering as a Secure User and accessing the Health Care Services, you acknowledge and agree to this Telehealth Consent and a record of such acknowledgement will be retained in the medical record of the medical provider and professional entity providing such Health Care Services.

Use of Access Rights

So long as you maintain the terms and conditions listed in this document and provide the funds for any required fees, you will be granted a personal, non-exclusive, revocable, limited, and non-transferable right to non-commercial, personal use of our site and services. This right to access and use our site and services cannot be resold or used in any commercial endeavor. You may not use your account information or information you gain from utilization of our site and services for the benefit of a third party without our authorization. This also applies to the collection or aggregation of data from the site or our services as well as any acts of data mining, gathering, or extracting. None of the content on our site or our services may be reproduced, duplicated, sold, or utilized for commercial purposes. We withhold the right to terminate the access of any entity or person found to be violating these terms.

All rights not granted to you through these terms and conditions are retained by PopupRx and its affiliates and content providers.

Your Conduct on Our Digital Platforms

Your use of the PopupCare™ digital platforms is subject to all applicable laws and regulations, and you are solely responsible for the substance of your communications through the platforms. By posting information in or otherwise using any communications service, chat module, message board, newsgroup, software library, or other interactive services that may be available to you on or through this site, you agree that you will not upload, share, post, or otherwise distribute or facilitate distribution of any content – including text, communications, software, images, sounds, data, or other information – that:

  • is unlawful, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another's privacy, tortious, contains explicit or graphic descriptions or accounts of sexual acts (including but not limited to sexual language of a violent or threatening nature directed at another individual or group of individuals), or otherwise violates our rules or policies;

  • victimizes, harasses, degrades, or intimidates an individual or group of individuals on the basis of religion, gender, sexual orientation, race, ethnicity, age, or disability;

  • infringes on any patent, trademark, trade secret, copyright, rights of publicity, or other proprietary rights of any party;

  • constitutes unauthorized or unsolicited advertising, junk or bulk email (also known as “spamming“), chain letters, any other form of unauthorized solicitation, or any form of lottery or gambling;

  • contains software viruses or any other computer code, files, or programs that are designed or intended to disrupt, damage, or limit the functioning of any software, hardware, or telecommunications equipment or to damage or obtain unauthorized access to any data or other information of any third party; or

  • impersonates any person or entity, including any of our employees or representatives.

We neither endorse nor assume any liability for the contents of any material uploaded or submitted by third party users of the site. We generally do not pre-screen, monitor, or edit the content posted by users of communications services, chat modules, message boards, newsgroups, software libraries, or other interactive services that may be available on or through this site. However, we and our agents have the right at their sole discretion to remove any content that, in our judgment, does not comply with these Terms of Use and any other rules of user conduct for our site, or is otherwise harmful, objectionable, or inaccurate. We are not responsible for any failure or delay in removing such content. You hereby consent to such removal and waive any claim against us arising out of such removal of content. In addition, you may not use your account to breach the security of another account or attempt to gain unauthorized access to another network or server. Not all areas of the site may be available to you or other authorized users of the site. You shall not interfere with anyone else's use and enjoyment of the site or other similar services. Users who violate systems or network security may incur criminal or civil liability.

You agree that we may at any time, and at our sole discretion, terminate your membership, account, or other affiliation with our site without prior notice to you for violating any of the above provisions. In addition, you acknowledge that we will cooperate fully with investigations of violations of systems or network security at other sites, including cooperating with law enforcement authorities in investigating suspected criminal violations.

Termination of Access and Use

We reserve the right, in our sole discretion, to terminate your access to all or part of our site and services with or without prior notice. Reasons for termination include, but are not limited to, any violation of these terms and conditions.

The Terms will remain in full force and effect as long as you continue to access or use the Platform. You may terminate the Terms at any time by discontinuing use of the Platform. Your permission to use the Platform automatically terminates if you violate these Terms.

We may terminate or suspend any of the rights granted by these Terms and your access to our Platform with or without prior notice, at any time, and for any reason. The following provisions survive the expiration or termination of these Terms for any reason whatsoever: Disclaimer of Warranties; Limitation of Liability; Indemnification; Governing Law, Dispute Resolution, Arbitration, Class Action Waiver; and Miscellaneous.

Subject to applicable law, PopupRx reserves the right to maintain, delete or destroy all communications and materials posted or uploaded to the Platform pursuant to its internal record retention and/or content destruction policies. After any termination, PopupRx will have no further obligation to provide the Services, except to the extent we are obligated to provide you access to your health records or required to provide you with continuing care under our applicable legal, ethical and professional obligations to you.

Communication with PopupCare™

When you use our digital platforms or contact us via email, voice or text, or otherwise communicate with us from a computer or mobile device, you are communicating with us electronically. You consent to receive communications from us electronically. We may communicate with you through email, text message, or via our platforms and services. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically (I) can be signed electronically and (II) satisfy any legal requirement that communications be in writing.

Intellectual Property

All materials found on our site and in our services, including, but not limited to, any elements related to design, layout, custom typefaces, functionality, programming, technological specifications or design, sound, photos, video, graphics, logos, music, or organization (collectively referred to as “content”), are copyrighted, trademarked, owned, patented, or otherwise controlled by PopupCare™ and our parent company, PopupRx, or our suppliers, vendors, affiliates, subsidiaries, partners, licensors, owners, or related entities. As such, all rights and title to trademarks, copyrights, service marks, ownership, patents, and content are protected under applicable law and herein remain with us and our suppliers, vendors, affiliates, subsidiaries, partners, licensors, owners, and related entities.

By accepting these terms and conditions, you hereby agree to only use this content as expressly authorized by us or the specific content provider. Excluding a single copy made for personal use only, you agree to not store, copy, modify, reproduce, retransmit, sell, use for commercial purposes, distribute, use for personal gain, publish, broadcast, display, mimic, or circulate any content, information, or documents contained within our site or services in any form or by any means without prior written permission from us or the specific content provider. You are solely responsible for obtaining said permission before utilizing any content found on our site or in our services.

Any failure to comply with these regulations will serve as a violation of these terms and conditions and may result in criminal or civil penalties.

Advertisements, Promotions, and Third Parties

Our digital platform and services may feature advertisements, promotions, or links for third parties. You may enter into correspondence with said third parties and make use of their sites, applications, services, or products. Any such activity is done solely between you and the related third party. PopupCare™ is, in no way, liable or responsible for any such activity. These third parties will have their own terms and conditions that do not apply to the terms and conditions outlined here. You must comply with them as separate entities. Interact with any third parties discovered through use of PopupCare™ at your own risk and using your own discretion.

Participation in Promotions. From time to time, this site may include advertisements offered by third parties. You may enter into correspondence with or participate in promotions of the advertisers showing their products on this site. Any such correspondence or promotions, including the delivery of and the payment for goods and services, and any other terms, conditions, warranties or representations associated with such correspondence or promotions, are solely between you and the advertiser. We assume no liability, obligation or responsibility for any part of any such correspondence or promotion.

E-mail, Messaging, Blogging, and Chat Services. We may make blogging, or chat services (collectively, “Communications“) available to users of our site, either directly or through a third-party provider. We make available separate supplemental agreements characterizing the relationship between you and us that, except where expressly noted or contradictory, includes these Terms.

We will not inspect or disclose the contents of private communications except with the consent of the sender or the recipient, or in the narrowly-defined situations provided under the Electronic Communications Privacy Act, or as other required by law or by a court or governmental order. Further information is available in our Privacy Policy.

We may employ automated monitoring devices or techniques to protect our users from mass unsolicited communications (also known as “spam“) and/or other types of electronic communications that we deem inconsistent with our business purposes. However, such devices or techniques are not perfect, and we will not be responsible for any legitimate communication that is blocked, or for any unsolicited communication that is not blocked.

Testimonials. From time to time, PopupCare™ may ask you to submit user feedback and testimonials (“Testimonials“) about your experience with us. Testimonials include all feedback submitted via any channel, including but not limited to via the site and mobile applications, email, survey and customer service communications. By submitting a Testimonial, you agree that PopupCare™ may use your Testimonial, including in edited and partial form, together with your name, location, and any other personal information you provide in any and all forms of marketing and promotional material including, without limitation, digital publication, print ads, television ads, radio ads, and for any and all other uses.

Payments

When you submit your information for PopupCare™ services, you agree to pay all fees due. You will see a prompt for your payment details, such as your credit card information and any promotional codes you may have. By entering your payment information and submitting your request, you authorize us, our affiliates, or our third-party payment processors to charge the amount due.

You understand and agree that you are responsible for all fees due to receive the Services, including any fees charged by the medical providers and affiliated professional entities and any applicable co-insurance or co-pay amounts. Amounts collected by PopupCare™ will include fees charged by medical providers for healthcare services. In the event that your credit card expires or PopupCare™, our affiliates, or our third-party payment processors are unable to process your payment, you may receive notice for you to provide an alternative payment method. PopupCare™ and/or the medical provider(s) have no obligation to provide any services unless and until full payment has been received and/or verified. Please note that professional services delivered as part of the Health Care Services are not likely to be covered by any government health care payors, and, as such, you understand that no such claims will be submitted by PopupRx or our affiliates for coverage of the professional services.

Waiver of Claims; Unauthorized Payments. To the fullest extent permitted by law, you agree to waive all claims against PopupCare™ related to any unauthorized payments made on or through your account However, you may submit a claim of the unauthorized payment to PopupCare™ we will undertake a reasonable investigation and, if PopupCare™ deems appropriate, assist in correcting the alleged unauthorized payment, provided that such claim (“Unauthorized Payment Claim“) is received by PopupCare™ within fifteen (15) days of the subject charge or payment. Each Unauthorized Payment Claim must be submitted to any one of the following:

  • By mail: PopupCare™, Attn: Info 3267 Bee Cave Road #107-345 Austin, TX 78746 with a subject line of “Claim Concerning Unauthorized Payment.“

  • By e-mail: with a subject line of “Claim Concerning Unauthorized Payment.“

  • For each Unauthorized Payment Claim, please state “Claim Concerning Unauthorized Payment“ in the e-mail or letter subject line, and clearly state the following in the body:

    • the date and approximate time of the subject transaction;

    • the services tendered or to be tendered under the subject transaction;

    • the total monetary amount of the subject transaction;

    • whether the subject transaction was made on or though the Site;

    • the parties to the subject transaction, including buyer and seller;

    • a detailed explanation for why you believe the charge or payment made under the subject transaction is unauthorized;

    • the monetary amount of the subject transaction you believe is subject to a refund;

    • your name, street address, city, state, zip code and e-mail address; and

    • whether you prefer to receive a response to your request by mail or e-mail.

  • If you send an Unauthorized Payment Claim by mail, then please do so by U.S. Certified Mail, Return Receipt Requested to allow for confirmation of mailing, delivery, and tracking. PopupRx will not accept an Unauthorized Payment Claim via telephone or facsimile. PopupRx is not responsible for any Unauthorized Payment Claim that is incomplete, incorrectly labeled, incorrectly sent or untimely.

Accurate Payment Information. You represent and warrant to PopupCare™ that any payment information you provide for PopupCare™ services is current, complete and accurate; and that you will promptly notify PopupCare™ ifyour payment information has changed (such as a change in address or expiration date), if your payment method has been cancelled, or if you become aware of a breach of security.

Refunds. All sales and payments made to PopupCare™ for a specific membership coverage program periods are final and not subject to or eligible for a refund. Rx Certificates that are issued to members for use when picking up their prescription will expire if the prescription has bot be picked up, after five days of being issued. Any payments applied to the Rx Certificate will be refunded into the member’s account.

Disclaimer of Warranties

YOU AGREE THAT PopupCare™ DIGITAL PLATFORMS AND SERVICES PROVIDED HEREIN ARE DONE SO ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTIBILITY, FITNESS FOR A PARTICULAR PURPOSE, QUALITY OF INFORMATION, OR NON-INFRINGEMENT. PopupCare™ MAKES NO WARRANTY THAT (I) OUR PLATFORMS OR SERVICES WILL MEET YOUR REQUIREMENTS (II) ACCESS AND USE OF OUR SITE AND SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR TIMELY (III) INFORMATION GAINED OR VIEWED THROUGH USE OF OUR PLATFORMS AND SERVICES WILL BE COMPLETE, ACCURATE, OR EFFECTIVE (IV) PRODUCTS OR SERVICES PURCHASED BY YOU FROM US OR ANY OF OUR AFFILIATES WILL MEET YOUR EXPECTATIONS OR BE FREE OF ERRORS (V) ISSUES OR ERRORS WITH OUR PLATFORMS OR SERVICES WILL BE REPAIRED OR CORRECTED.

ANY INFORMATION OR MATERIAL DOWNLOADED, OBTAINED, VIEWED, OR OTHERWISE USED THROUGH OR FROM OUR PLATFORMSOR SERVICES IS DONE AT YOUR OWN RISK AND DISCRETION. YOU WILL BE HELD SOLELY RESPONSIBLE FOR ANY DAMAGES TO YOUR DEVICE, OPERATING SYSTEM, OR PERSONAL DATA THAT RESULTS FROM SUCH ACTIONS.

NO INFORMATION, MATERIAL, OR COMMUNICATION OBTAINED BY YOU FROM PopupCare™ WILL ACT AS A WARRANTY OR CREATE A WARRANTY THAT IS NOT EXPRESSLY STATED IN THESE TERMS AND CONDITIONS.

OUR PLATFORMS AND RELATED SERVICES MAY CONTAIN TECHNICAL OR TYPOGRAPHICAL ERRORS OR IN ACCURACIES. WE MAY MAKE CHANGES TO ANY MATERIALS, FUNCTIONALITIES, PRICES, OR PRODUCTS LISTED THROUGH OUR SITES AND SERVICES AT ANY TIME WITHOUT REQUIREMENT FOR NOTICE.

SOME JURISDICTIONS, LEGAL BODIES, AND LAWS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES. AS SUCH, SOME OF THE ABOVE REGULATIONS AND LIMITATIONS MAY NOT APPLY TO YOU.

Limitation of Liability

PopupCare™ AND OUR AFFILATES AND SUBSIDIARIES SHALL NOT BE HELD RESPONSIBLE OR LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR OTHER DAMAGES WHATSOEVER, INCLUDING, BUT NOT LIMITED TO, LOSS OF USE, DATA, OR PROFITS WHETHER RESULTING FROM USE, INABILITY OF USE, ACCESS, OR INABILITY OF ACCESS OF OUR PLATFORMS, THEIR CONTENT, AND OUR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, NEGLIGENCE, PRODUCT LIABILITY, OR OTHERWISE AND WHETHER OR NOT WE WERE APPRAISED OF THE POSSIBILITY OF SUCH DAMAGES.

ADDITIONALLY, WE SHALL NOT BE HELD RESPONSIBLE OR LIABLE IN ANY WAY FOR THE GOODS AND SERVICES OF THIRD PARTIES DISPLAYED OR ACCESSIBLE THROUGH THE ACCESS AND USE OF OUR PLATFORMS.

SOME JURISDICTIONS, LEGAL BODIES, AND LAWS DO NOT ALLOW THE EXCLUSION OF LIABILITY UNDER CERTAIN CIRCUMSTANCES FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES. AS SUCH, IT IS POSSIBLE THAT THE ABOVE LIMITATIONS AND TERMS DO NOT APPLY TO YOU.

Indemnification

You agree to indemnify or otherwise hold harmless PopupCare™ and our parent company, PopupRx, and any of our staff, partners, affiliates, subsidiaries, agents, licensors, suppliers, or other related entities and persons from any direct, indirect, incidental, consequential, or exemplary damages, errors, violations, or operational mistakes caused by your use of our site and services.

Force Majeure

We cannot be charged with any violation or breach of these terms or liable for any violation or breach of these terms due to any event, occurrence, or situation beyond our reasonable control. This includes, but is not limited to, acts of God, terrorism, war, invasion, natural disaster, failures of public networks or services, electrical shortage or outage, civil disorder, fire, earthquake, flood, tornado, hurricane, strikes, or any other disaster.

Governing Law, Dispute Resolution, and Arbitration

These terms and conditions and the use of PopupCare™’s digital platforms and services shall be governed by the laws of the State of Texas, without giving effect to the principle of conflict of laws. Any claims arising from or related to these terms and conditions or your use of our digital platforms or services must brought within 1 year after the cause of action arises, or such claims or causes of action are barred. Any claims between a party and PopupCare™ or our parent company, PopupRX, arising from these terms and conditions or in relation to the usage of our digital platforms or services shall be determined by one disinterested arbitrator in arbitration pursuant to the rules and regulations of the U.S. Federal Arbitration Act. Said arbitrator shall be experienced in the agreements of information technology services or the agreements of healthcare technology services. Testimony shall be permitted via telephone call, video conference, conference call, or any other form of real-time telecommunications. The arbitrator may award injunctive relief only in favor of the party seeking relief and only to the extent necessary to provide relief warranted by that party’s individual claim. Any and all awards resulting from arbitration will be final and binding and may be entered and enforced in any court of competent jurisdiction. As such, you and PopupCare™ agree that you and PopupCare™ are waiving the right to a trial by jury, to the pursuit of a class action, or to participate as a plaintiff or as a class member in any claim on a class or consolidated basis or in a representative capacity when making any claims related to these terms and conditions or use of PopupCare™ ’s site and services. You and PopupCare™ also agree that any arbitration will be conducted solely on an individual basis and will not be on a consolidated, class-wide, or representative basis and that the arbitrator shall have no authority to proceed on a consolidated, class-wide, or representative basis.
